In July 2023, ELSA Bucharest (The European Law Students’ Association | Bucharest) organized one of the flagship activities of the organization, its traditional summer school: SELS Bucharest on Mergers and Acquisitions.
Corina Roman, Managing Associate with SIMION & BACIU’s Corporate M&A practice delivered a comprehensive workshop on “Evaluating Target Companies” during the event. The core message conveyed by Corina to over 30 international and Romanian law students attending the event, in addition to all the technical aspects surrounding the topic, was:
Have a plan, imagine the path ahead of you, gain experience, be present and make adjustment that align with your desired approach. Expand your knowledge constantly and when the time comes, and you will know it, pass it on to others and help them find their way and outperform you-this is progress, and we all should bring our contribution to it.
The workshop titled “Evaluating Target Companies or Everything About Buying the Best Ice Cream” brough to life by Corina was the perfect opportunity to discuss key concepts and practical aspects which are either the norm or pose ad hoc challenges to professionals engaged in transactional work.
Following the event, Corina mentioned:
The central theme explored was the 360-degree valuation of companies or how to pay the best price for ice cream even on a sunny and hot summer day. Joke aside, we were delighted to explore in a more pragmatic and business-oriented approach together with Romanian and foreign students the importance of evaluating a target business in an integrated approach (financial, tax and legal), the key areas of the legal evaluation of target companies, potential options for structuring transactions and how to use the information collected during the evaluation process to the advantage of the client during an M&A deal.
